1. ACCEPTANCE OF TERMS

By downloading, accessing, or using the Gropad mobile application ("App"), website, or any related services (collectively, the "Service"), you ("User," "you," or "your") agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Gropad, Inc. ("Gropad," "we," "us," or "our"), a company incorporated under applicable law.

2. DESCRIPTION OF SERVICE

Gropad is a digital campus marketplace platform that facilitates connections between students for the exchange of goods, services, and information about events. The Service allows users to:

• Create listings for goods, services, and events

• Browse and search listings created by other users

• Communicate with other users through in-app messaging

• Rate and review other users and their offerings

IMPORTANT: Gropad is a platform that connects users only. We do not facilitate, process, or guarantee any transactions, payments, or exchanges between users.

3. ELIGIBILITY AND REGISTRATION

3.1 Age Requirement

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old.

3.2 Student Status

While the Service is designed for students, you may register using any valid email address. However, you represent and warrant that you are affiliated with an educational institution as a student, faculty member, or staff member.

3.3 Account Registration

To use certain features of the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.4 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without cause or notice, including if we believe you have violated these Terms.

4. USER CONDUCT AND PROHIBITED ACTIVITIES

4.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You will not:

• Violate any applicable local, state, national, or international law or regulation

• Transmit or post any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable

• Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity

• Post or transmit any unsolicited or unauthorized advertising, promotional materials, spam, or any other form of solicitation

• Engage in any activity that could disable, overburden, damage, or impair the Service

• Use any automated system or software to extract data from the Service

• Attempt to gain unauthorized access to any part of the Service, other users' accounts, or any systems or networks connected to the Service

4.2 Content Guidelines

When creating listings or posting content, you must not:

• List illegal items or services

• Post misleading or false information about goods, services, or events

• Infringe upon any third party's intellectual property rights

• Post content containing personal information of third parties without consent

• Engage in price gouging or fraudulent pricing practices

• List items that violate campus policies or regulations

4.3 Transaction Conduct

While using the Service to connect with other users:

• You are solely responsible for your interactions with other users

• You must conduct all transactions at your own risk

• You agree to meet other users only in safe, public locations

• You will not engage in any fraudulent, deceptive, or illegal transaction practices

5. TRANSACTIONS AND PAYMENTS

5.1 No Transaction Facilitation

GROPAD DOES NOT FACILITATE, PROCESS, CONTROL, OR GUARANTEE ANY TRANSACTIONS BETWEEN USERS. All transactions, including negotiations, payments, deliveries, and exchanges, occur solely between users without any involvement from Gropad.

5.2 Transaction Responsibility

You acknowledge and agree that:

• Gropad is not a party to any transaction between users

• Gropad has no control over the quality, safety, legality, or availability of items or services listed

• Gropad has no control over the truth or accuracy of listings

• Gropad has no control over the ability of users to complete transactions

• You are solely responsible for determining the suitability of other users and their offerings

5.3 Payment Methods

Users are responsible for arranging their own payment methods and completing payments independently. Gropad does not process payments, hold funds in escrow, or provide any payment protection services.

5.4 Disputes

Gropad is not responsible for resolving any disputes that may arise between users regarding transactions. Users must resolve all transaction-related disputes directly with each other.

6. INTELLECTUAL PROPERTY RIGHTS

6.1 Gropad's Rights

The Service and its original content, features, and functionality are owned by Gropad and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 User Content

By posting content on the Service, you grant Gropad a non-exclusive, royalty-free, worldwide, perpetual license to use, modify, publicly display, reproduce, and distribute such content in connection with the Service.

You represent and warrant that you own or have the necessary rights to grant this license and that your content does not infringe upon any third party's rights.

6.3 DMCA Compliance

7. PRIVACY

Your privacy is important to us. Please review our Privacy Policy, which governs how we collect, use, and disclose information about you. By using the Service, you consent to the collection and use of information as outlined in our Privacy Policy.

8. DISCLAIMERS AND LIMITATIONS OF LIABILITY

8.1 Service Availability

The Service is provided "as is" and "as available" without warranties of any kind. We do not guarantee that the Service will be uninterrupted, secure, or error-free.

8.2 Content Disclaimer

We do not control, verify, or endorse content posted by users. You acknowledge that you may be exposed to content that is inaccurate, offensive, or otherwise objectionable.

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GROPAD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.

GROPAD'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED $100 OR THE AMOUNT YOU PAID TO GROPAD IN THE 12 MONTHS PRECEDING THE CLAIM, WHICHEVER IS LESS.

8.4 Transaction Disclaimer

GROPAD SPECIFICALLY DISCLAIMS ANY LIABILITY FOR:

• Failed, incomplete, or fraudulent transactions between users

• Quality, condition, or misrepresentation of goods or services

• Personal injury or property damage resulting from user interactions

• Financial losses resulting from transactions

• Disputes between users

9. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Gropad, its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including attorney's fees) arising from:

• Your use of the Service

• Your violation of these Terms

• Your violation of any third party's rights

• Your transactions or interactions with other users

• Content you post on the Service

10. TERMINATION

10.1 Termination by You

You may stop using the Service at any time by deleting your account through the App settings.

10.2 Termination by Gropad

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including:

• Breach of these Terms

• Violation of applicable laws

• Fraudulent, abusive, or harmful behavior

• Extended periods of inactivity

10.3 Effect of Termination

Upon termination, your right to use the Service will cease immediately, and your account and all associated data may be deleted.

11. DISPUTE RESOLUTION

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law provisions.

11.2 Arbitration

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, rather than in court, except that you may assert claims in small claims court if your claims qualify.

You agree that any arbitration or legal proceeding shall be limited to the dispute between you and Gropad individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.

12. GENERAL PROVISIONS

12.1 Entire Agreement

These Terms constitute the entire agreement between you and Gropad regarding the Service and supersede all prior agreements and understandings.

12.2 Modification

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms in the App and updating the "Last Updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.

12.3 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

12.4 Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.

12.5 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
